General Terms and Conditions of Service

1. Premises

  1. These general conditions of use (hereinafter, the "General Conditions") govern the terms and methods of using the digital service named "BizzyNow", accessible via mobile and/or web application (hereinafter, the "Application" or "Service"), made available by the operator owner of the project Bizzy S.r.l., VAT ID 02608010977, with registered office in Via del Pino 11, 59100 Prato (PO), Italy, (hereinafter, the "Company").
  2. Use of the Service is subject to full acceptance of these General Conditions by the user.

2. Object of the service and intended use

  1. "BizzyNow" is a digital platform designed to facilitate meetings between professionals on the move, through digital instruments that value geographic proximity and direct interaction between users.
  2. The Service allows, in particular, to:
    1. create and manage a professional profile authenticated via LinkedIn account;
    2. view other users present in the same geographical area, through approximate geolocation functionality, activated upon consent;
    3. start private conversations through an internal messaging system;
    4. access automated content and suggestions consistent with the use of the platform.
  3. The Service is intended exclusively for subjects acting for professional or entrepreneurial purposes. Access to the Application is allowed only upon connection with an active LinkedIn account.
  4. For specific contractual relationships, Consumer Code regulations do not apply.
  5. The Service is currently provided free of charge. The Company reserves the right to introduce, in the future, paid usage methods, upon updating these General Conditions.

3. Methods of access and user obligations

  1. To access the Service, the user must authenticate via LinkedIn account, using exclusively personal credentials, which cannot be transferred to third parties.
  2. The user guarantees that the information provided during registration is truthful, updated, and complete. It is forbidden to create fictitious accounts, impersonate other subjects, or provide data not corresponding to one's professional identity. In particular, the user declares to:
    1. be at least 18 years old at the time of registration;
    2. act exclusively as a professional or entrepreneur, using the Service for purposes consistent with the nature of the Application;
    3. have full capacity to act and validly sign a contract.
  3. The user undertakes to use the Application in compliance with current regulations and these General Conditions, avoiding behaviors contrary to professional correctness, good faith, and the purpose of the Service.
  4. The user is required to act in good faith and cooperate with the Company in case of reports, disputes, or checks related to the use of the Application. Non-compliance with these obligations may result in temporary suspension or termination of the account, as provided in Article 9.

4. Conduct and user-generated content

  1. The user is expressly forbidden to:
    1. publish or share content that is illicit, misleading, defamatory, offensive, obscene, discriminatory, or contrary to public order or decency;
    2. impersonate third parties or falsify one's identity;
    3. transmit spam or promotional communications;
    4. use chat for improper purposes or not consistent with the purposes of the Application, by way of example and not limited to, it is forbidden for the user to transmit personal data of their own or third parties (in any form) and of a confidential nature within the chat;
    5. perform unauthorized scraping, data mining, or automation activities;
    6. damage or attempt to compromise the functioning of the Application or underlying systems;
    7. use platform content or data for purposes other than professional networking, including unauthorized sales, spam, promotion, or data collection activities;
  2. The user is responsible for the content they enter and guarantees that they have every right and authorization necessary for their use and dissemination. The Company reserves the right to suspend or limit access to the Service in case of violation of these provisions, upon motivated communication to the user.
  3. Users can report illicit content or violations of these General Conditions by writing to the email address hello@bizzysrl.com, specifying the reasons for the report. The Company reserves the right to remove content or suspend accounts, where prerequisites exist.

5. Automatic suggestion functionality in messaging

  1. The Application includes, experimentally, a functionality of automatic sentence completion in messaging, aimed at suggesting potential relevant texts or responses to the user based on the content of the conversation.
  2. This system operates through non-personalized algorithmic logic, devoid of decision-making or individual profiling purposes. Suggestions are generated automatically and are not the result of human evaluations nor constitute communications from the Company.
  3. The user retains full control over the use of such suggestions and remains exclusively responsible for the content actually transmitted, being able to ignore, modify, or delete suggested texts at any time.

6. Geolocation

  1. Access to some features of the Application may require activation of geolocation services by the user's device. The Application uses location data to report the presence of other users in nearby geographical areas, without in any way sharing exact or real-time location.
  2. Processing of location data occurs upon free, specific, and revocable consent, released during the functionality activation phase, and can be disabled at any time through device or Application settings.
  3. To facilitate interaction between users, the last position associated with the user may be stored for a maximum period of 7 (seven) days, even if the user is offline or has disabled location. During this period, the user may continue to be displayed as "present" in the area where they were located, even if offline, untill:
    1. (i) a new location is detected; or
    2. (ii) the maximum storage period indicated above expires.
  4. Data regarding geographic location, like any other personal data processed through the Application, is managed in compliance with Regulation (EU) 2016/679 ("GDPR") and as provided in the Privacy Policy available within the Application.

7. Service Availability and Liability

  1. The Company will do its best to ensure proper functioning of the Service, compatible with technical, maintenance, and update needs. However, the User acknowledges and accepts that the Application may be subject to temporary suspensions or malfunctions. In any case, the User acknowledges that they cannot rely on continuous, uninterrupted, or error-free availability of the Service.
  2. The Company also reserves the right to permanently discontinue the Service and decommission the Application at any time. In such case, the Company will give notice to users with reasonable notice.
  3. The Company provides the Application as a technical intermediation platform between professionals, without assuming any obligation of verification, selection, active monitoring, or preventive moderation of user profiles, exchanged content, or conversations started through the Service.
  4. The Company does not guarantee the correctness, authenticity, completeness, or updating of information provided by users, nor does it assume responsibility for behaviors, omissions, statements, or content entered by them.
  5. The user acknowledges and accepts that the Company performs no professional control, identity, or background check of users and that interaction takes place under the full and exclusive responsibility of the parties involved.
  6. In no case can the Company be held responsible for direct or indirect damages deriving from, by way of example and not limited to:
    1. use or reliance on information communicated by other users;
    2. meetings organized through the Application;
    3. conduct held by third parties inside or outside the Service;
    4. any reputational, economic, or professional damage deriving from contacts started through the platform.

8. Changes to the Service and General Conditions

  1. The Company reserves the right to update, modify, or supplement these General Conditions to adapt them to regulatory, technical, or functional developments.
  2. Changes will be made known by specific communication within the Application and will be effective after a reasonable term from publication. Continuation in the use of the Service will equate to acceptance of the new conditions.

9. Duration and termination of the relationship

  1. This relationship has an indefinite duration.
  2. The user can withdraw from the contract at any time, by deleting their account.
  3. The Company reserves the right to deactivate the user's account in case of substantial violations of these General Conditions, upon communication and, where possible, assignment of a term to regularize their position.

10. Intellectual Property Rights

  1. All rights related to the Application, including – by way of example but not limited to – software, source code, design, logos, trademarks, original textual and multimedia content, graphic interfaces, databases, and any other technical, graphic, or conceptual element, are the exclusive property of the Company.
  2. Any unauthorized reproduction, distribution, modification, translation, or use of such elements by the user is prohibited, unless previously authorized in writing by the Company.

11. Privacy

  1. Processing of personal data is carried out in compliance with current legislation (Regulation EU 2016/679 - GDPR) and detailed in our Privacy Policy, available at this link https://www.bizzynow.com/privacy

12. Applicable Law and Competent Forum

  1. This contract is governed by Italian law.
  2. Any dispute arising from the interpretation or execution of these General Conditions will be devolved to the competence of the judge of the place determined according to standard applicable rules.

13. Acceptance

  1. The user declares to have read carefully and understood these General Conditions and to accept them in full at the time of registration on the Application.
